Compliance Filings
A company needs to file an amendment with the state whenever key information changes. This could include:
Change of Business Name: The LLC decides to operate under a different legal name.
Change of Registered Agent: The designated person or entity for receiving legal documents changes.
Change of Principal Office Address: The main business address changes.
Changes in Management Structure: Moving from member-managed to manager-managed, or vice-versa (though significant structural changes often involve internal operating agreement amendments first).
Adding/Removing Members or Shares: While primarily handled in the operating agreement, some states might require an amendment if membership details are included in the public Articles of Organization.
Purpose of Business: If the initial filing included a specific business purpose that changes significantly. You would prepare the necessary "Articles of Amendment" (or equivalent state form) and file it with the relevant state authority (e.g., Michigan Department of Licensing and Regulatory Affairs, LARA).
