What is an Annual Report/Statement?
The Annual Statement is a brief form that updates the state with essential information about your business, such as:
- Your entity's current name and registered office address.
- Your Registered Agent's name and address.
- The names and addresses of your current officers (for corporations) or members/managers (for LLCs).
Failing to file your Annual Statement on time can lead to serious consequences, including:
- Loss of Good Standing: Your business will lose its "good standing" status with the state.
- Administrative Dissolution: After a period of non-compliance, the state can administratively dissolve your entity, revoking your right to do business.
- Loss of Liability Protection: If your entity is dissolved, you could lose the personal liability protection that your LLC or Corporation provides, exposing your personal assets.
- Inability to Conduct Business: You may be unable to open bank accounts, sign contracts, or obtain loans.

Annual Report
We are committed to accurate and timely filing of your Annual Reports. Please review our refund policy for this service carefully.
1. Our Service Fee: Refund Eligibility
- Before Submission to State: If you choose to cancel your Annual Report service request before we have prepared and submitted your Annual Statement to the relevant state authority, you are eligible for a full refund of our service fee. You must notify us in writing via email at info@businessmoneyguru.com to cancel.
- After Submission to State: Once your Annual Statement has been prepared and submitted to the state on your behalf, our service fee becomes non-refundable. This is because our service has been rendered at that point, having completed the work of preparing and submitting your compliance filing.
2. State Filing Fees: Non-Refundable
- All government filing fees are strictly non-refundable once they have been paid or submitted to the state. These fees are charged by the respective government agencies, not by Business Money Guru, and are non-recoverable once paid.
- Should a filing be rejected by the state due to incorrect or incomplete information provided by you, or for reasons beyond our control (e.g., state system errors), you will be responsible for any new state filing fees for re-submission. Our service fee will generally not be charged again for re-submission if the error was ours, but if the error was due to incorrect information provided by you, an additional service fee may apply for the re-submission.
3. Client Responsibility & Deadlines:
- You are responsible for providing us with accurate, complete, and up-to-date information required for your Annual Report.
- You are also responsible for informing us of your desire to use our service for your Annual Report well in advance of your state's deadline. While we may send reminders to existing clients, the ultimate responsibility for timely filing remains with the business owner. Refunds will not be issued for delays or penalties incurred due to information not being provided to us in a timely manner.
4. Our Responsibility & Limitations:
- Our service is limited to the accurate preparation and submission of your Annual Statement based on the information you provide.
- We cannot control the processing times of state agencies. Refunds will not be issued due to state processing delays.
- We do not provide legal, accounting, or tax advice related to your Annual Report content.
